Privacy Policy

Thank you for visiting R&D. R&D is an invite-only managed marketplace that uses data to smart match artists with brands.

This Privacy Policy describes how R&D Co-op, Inc. (“R&D”, “we”, “us” and/or “our”) handles the personal information that we collect from and about you in connection with our website, currently located at rad.inc. (the “Site”), including all associated features and functionalities, user interfaces, and applications (collectively, the “Services”). This Privacy Policy also describes certain legal rights you may have, subject to applicable law, and how you can exercise them.

For the purposes of this Privacy Policy, “Personal Information” means information that alone or when in combination with other information may be used to readily identify, contact, or locate you, including, but not limited to, your name, address, email address, or phone number. When we talk about “Talent”, we mean musical artists, athletes, actors, performers, influencers, comedians, and other talent and/or entertainers. When we talk about “Organizations” we mean brands, marketing/advertising agencies, and their authorized representatives. We may also collect Personal Information on related persons working with and on behalf of Talent (e.g., managers, social media managers, publicists, agents, and brand managers) or an Organization (e.g., representatives from marketing/advertising agencies, public relations agencies, and social media agencies). Collectively, we refer to these individuals as “Related Persons”. For purposes of this Privacy Policy, “You” refers to any individual interacting with our Services, including Talent, Organizations, and Related Persons.

By using any of R&D’s Services, you confirm that you have agreed to the R&D Terms of Service or other written agreement as applicable and to the extent permitted by law, and have read and understood this Privacy Policy.

Information We Collect

Information you give us directly

Some information we collect directly from you. For instance, we collect information that you voluntarily provide in the following ways:

  • When you apply to join. R&D is an invite-only platform. If you would like to join, we require that you provide us with certain information about the Talent or Organization for which you would like to create an account. In order to vet Talent, we may ask for the Talent’s name, headshots, and social network information as well as relevant industry information such as artist endorsements and established management companies, target industry(ies), record labels or accredited talent agencies with which the Talent works. To vet an Organization, we collect the Organization’s trading name and social network information, as well as information about the Organization’s (or its clients’) history of product placement, target industry(ies), and talent network spend. We may also collect Personal Information for Related Persons to the extent such individuals provide their Personal Information or otherwise communicate with us during the vetting process. Typically, the information we collect about these individuals is their name, contact details, and any Personal Information they may choose to share in their correspondence with us.
  • When you create an account. . If you are invited to join, we (or another individual authorized by the Talent or Organization you represent) will provide you with an invitation link that will give you access to restricted portions of our Site. We will ask that you create a username and password for your account (or choose a third-party authentication method) which we will use to authenticate you at sign in. in.
  • When you populate your profile.In order to populate your page, we ask for certain additional information, some of which is optional. For instance, to populate a Talent page, we may collect the Talent’s name, photos/headshots, links to press; social media information, target industry(ies), any biographical information (preferred pronouns, interests, values, demographics, zodiac sign, exclusivities with relation to existing commitments) you choose to share, and audio, videos, photographs, music, text, graphics, illustrations, or other content you upload (“Your Content”) (including depictions of yourself, your staff, family and friends, and others). To populate an Organization page, we may collect the Organization’s name, contact details, photos (including depictions of staff and others), and any information you provide relating to your business, products, values or representations, target industry(ies), or project needs. You also have the option of providing information about Related Persons, such as these individuals’ contact information, preferred pronouns, and photos/headshots. If you are an Artist, the information described above will be visible to Organizations and if you are an Organization, this information will be visible to Talent.
  • When you sign up to receive email communications from us, complete a survey, or otherwise provide us with feedback. When you engage in these activities, we may collect your name, contact details, job title, industry, areas of expertise, interests, and any additional information you provide to us as part of that request (such as information about your satisfaction with our Services or how a particular project or engagement went in response to a survey).
  • When you register for and participate in our events. If you register for an in-person or virtual event we host or sponsor, we may collect Personal Information from you, including your name, contact details, job title, and any specific information relevant to the event for which you are registering. To enable virtual events, we stream video and audio feed of interactions between participants as well as the contents of any communications enabled by integrated chat functions within the third-party services we use to provide the events. This includes collecting your image, voice, movements, physical environment, and any other information provided during the event. From time-to-time, we may record special events and make those recordings available to other R&D Members. If we do so, we will indicate that the event will be recorded.
  • When you contact us. When you contact us by email; through our branded social media accounts; through any integrated chat providers we may provide; or by telephone, SMS, or physical mail, we may collect your name, contact details (include phone number and physical address, if provided), and the contents of your communication which can include any information you choose to provide.

Information we collect automatically

We also collect certain information automatically as you navigate our Services or interact with our communications. To collect this information, we, or our third-party service providers, may use cookies or similar technologies. A “cookie” is a small text file that websites send to a visitor’s computer or other internet-connected device to uniquely identify the visitor’s browser or to store information or settings in the browser. We, and our third-party service providers use cookies in order to do things such as recognize you when you return to our Site, save your preferences (including your preferences regarding cookie handling), understand which sections of the Site you find most interesting, ensure our Site is working properly, and prevent fraud. We use both session cookies (which expire when you close your browser) and persistent cookies (which stay on your computer until you delete them or until they expire).

The information we collect automatically can include the following:

  • Information about the devices you use to access our Services(including your internet protocol (IP) address, browser type, and operating system);
  • The address of the web page visited before and after using our Services;
  • Details about your interactions with our Services (such as the date, time, length of stay, and specific pages accessed during your visits);
  • Search terms used to reach our Services;
  • Usage information (such as the number and frequency of visitors to our Services); and
  • Location information (such as general location information inferred from your IP address).

If you do not want us to collect information through the use of cookies, you can disable cookies, limit the types of cookies you allow, or set your browser to alert you when cookies are being sent. Please refer to the guidance offered by your chosen web browser if you would like help

We also collect information automatically when you do the following:

  • When you communicate with other Members. We may offer messaging features that allow Talent and Organizations to communicate with each other and with R&D through our Site and Services. To provide this functionality, R&D may receive some data regarding the communications, including the date and time of the message and the content of the communication. R&D may use this data for customer services purposes (such as resolving disputes between Members), for safety and security purposes, to improve our Services, and for analytics.
  • When you conduct transactions through our Services. We collect information related to any transactions made through our Services, including the parties, date of execution, project description, timeline, and deliverables.

Information we collect from other sources

We may also obtain Personal Information from other sources. For instance, we may collect Personal Information about you from the following third-party sources:

  • Another individual at your organization: We may collect your Personal Information from another individual at your organization who may provide us with your business contact information in the course of communicating with us.
  • Publicly available sources: We may supplement the information that we collect from you (such as your email address) with additional information about you and your employer obtained from publicly available and third-party databases or services that provide information about professionals and companies (including an individual’s name, job title, business contact information, and company information)
  • Another R&D Member. We may collect information about your interactions and performance from another R&D Member with whom you are matched or have otherwise interacted. This information may include Personal Information. We collect this information in order to maintain our high standards of quality, inclusiveness, and civility. We also allow Members to nominate individuals in their network whom they believe may be suitable members of the community. If you are nominated in this way, we collect and store your name, job title, contact information, and any other information the Member who nominates you may share with us. We may contact you directly via email. We will also let you know who nominated you and let you request that your information be deleted from our systems.
  • Social media platforms. If you choose to connect a third-party social media account to your R&D account, the provider of the third-party social media platform may make certain information available to us. This can include information necessary to facilitate the integration as well as any additional information the provider chooses to share with us or which you have permitted the provider to share through your privacy settings. We encourage you to check the privacy settings and privacy policies of these third-party social media platforms to understand what information might be shared with us.
  • Event partners. From time to time, we may partner with a third party in order to offer an event (our “Event Partners”) and may receive information about you from these Event Partners. For instance, Event Partners may provide us with the names and contact information of individuals who sign up through the Event Partner’s website for the event we are co-sponsoring.
  • Third-party platforms: If you create an account on our Site, we ask you to supply an email address and password. Alternatively, we may allow you to authenticate yourself using third-party platforms, including blockchain-based authentication methods. If you choose to log-in using such third-party platforms, we may receive information such as your name and email address or other unique identifiers (such as your blockchain wallet address or Ethereum network information) from that provider.
  • Other third parties. We may collect information from other third parties we may consult to verify your identity, background information, eligibility to work, or for other vetting, safety, and security purposes.

How We Use Your Information

We use the information described above to do the following:

  • Administer the vetting process (including reviewing and verifying the information you provide, communicating with you, and processing payments);
  • Provide our Services (including creating your account and identifying you when you sign in; managing your access to and use of certain areas, functionalities, and features of our Services; enabling you to communicate with other R&D Members; fulfilling your requests and registrations; and sending you technical notices, updates, security alerts, and support and administrative messages);
  • Operate and improve our Services (including monitoring and analyzing usage, trends, and activities related to the Services; managing alpha, beta, and early access tests and collecting feedback; and identifying, fixing, and troubleshooting bugs and service errors);
  • Communicate with you (including responding to your requests, inquiries, comments, and suggestions);
  • Personalize content (including smart matching you with Talent and Organizations we think will be of interest to you);
  • Further our networking, marketing, and social strategies (including posting testimonials; highlighting Members and completed projects on our websites or social media channels; notifying you about programs, services, offers, promotions, and events; and promoting our Services);
  • Protect against, identify, investigate, and respond to misuse of our Services (including preventing and detecting fraud, unauthorized access, and other unlawful behavior);
  • Support our general business operations (including maintaining our business and legal recordkeeping); and
  • Carry out any other purpose described to you at the time the information was collected.

How We Share Your Information

We may share information about you with certain third parties in the following circumstances:

  • Companies under common control: We may share Personal Information between and among any current or future parents, subsidiaries, affiliates, and other companies under common control and ownership with R&D.
  • Vendors and service providers: We may share Personal Information with vendors, consultants, and other service providers who need to access the data in order to perform services on our behalf, such as processing payments or providing analytics, website hosting, or cloud-storage services.
  • Business transfers: We may share Personal Information with another company in connection with or during negotiations of any merger, acquisition, financing, re-organization, bankruptcy, sale of all or a portion of our assets, or transition of services to another provider.
  • Legal requirements: We may share Personal Information when we believe it is necessary to comply with a legal obligation, including lawful requests from public authorities to meet national security or law enforcement requirements. We may also share Personal Information when we believe it is necessary to protect our rights and property, to protect the safety of our Members, and to defend against legal liability.
  • Consent: We may share Personal Information with third parties with your consent and at your direction, including if we notify you that the information you provide will be shared in a particular manner and you provide that information.
  • The Talent or Organization with which you are paired: In the course of providing our Services, we also share your Personal Information with the Talent or Organization with which you are paired to enable you to communicate with one another, work together, and understand each other’s individual needs and capabilities.
  • Social media platforms. We may offer social sharing features and other integrations which allow Members to share information from their R&D account with third-party social media platforms, such as Twitter and Instagram. Using these social sharing features is optional.

Your Rights and Choices

You have a variety of rights and choices related to our use of your Personal Information.

  • Opting out of email marketing. You can opt out of receiving our promotional emails at any time by following the instructions included in those emails. Please be aware that it may take up to 10 days for us to process your request, and you may continue receiving promotional communications from us during that period. If you opt out of receiving such communications, please be aware that we may continue to send you non-promotional emails (such as emails related to our business relationship or emails about changes to our legal terms).
  • Restricting cookies/Do Not Track. R&D does not currently change its behavior in response to web browser “do not track” signals. However, you can configure most browsers to reject cookies or to notify you when you are sent a cookie, giving you a chance to decide whether or not to accept it. You can consult the help section of your browser to find out how to do this. Please note that if you choose to remove or reject cookies, this could affect the availability and functionality of our Services.
  • Accessing, updating, or deleting your information. If you would like to access, update, or delete Personal Information you have provided you may do so through your account settings or by emailing us at [email protected]. To learn how to close your account, please contact us at [email protected]. Please note that we may keep certain Personal Information as necessary to comply with our legal obligations or for legitimate business purposes, such as to resolve disputes or enforce our agreements. We may also keep cached archived copies of Personal Information for a certain period of time.
  • Limiting information in your account. You can control the information we collect about you by limiting what information you provide through your account. Please note that if you choose not to provide certain information it may make it difficult or impossible for you to access some services.
  • Limiting information available through social media platforms.If you want to limit or stop receipt of information from third-party social media platforms, you can change your privacy settings on those other websites. You also may choose not to use social features we make available.

We may also share aggregate or de-identified information, which cannot reasonably be used to identify you, for various purposes including compliance with various reporting obligations; for business or marketing purposes; or to assist third parties in understanding our Members’ interests, habits, and usage patterns for certain programs, content, services, advertisements, promotions, and/or functionality available through the Services.

Children’s Privacy

Our Services are intended for adults and we do not knowingly collect Personal Information from children. If you are a parent or legal guardian and think your child under 13 (or a higher age threshold where applicable) has given us Personal Information without your consent, please contact us at [email protected]

If you are over the age of 13, but under the age of majority where you live, you may only use our Services with the involvement and permission of a parent or legal guardian. If you are a California resident under 18 years old, you can request that we remove content or information that you have posted to our Site. To request removal of content or information, please email [email protected]

Links to Other Websites and Third-Party Content

We may provide links to third-party websites, services, and applications that are not operated or controlled by R&D. This Privacy Policy does not apply to the privacy practices of those third parties. The fact that we link to a website, service, or application is not an endorsement, authorization, or representation of our affiliation with that third party. We encourage you to review the privacy policies of any third-party service before providing any Personal Information to or through them.

Data Transfer

Personal Information we collect may be stored and processed for the purposes set out in this Privacy Policy in the United States where we are based or in any country where we have operations or where we engage vendors or service providers. These countries may not have the same data protection laws as the country in which you originally provided the data. By using our Services or submitting your Personal Information to us, you agree to such transfers.

Data Retention

We only keep your Personal Information for so long as reasonably necessary for the purposes described in this Privacy Policy, as required by law, or as necessary to resolve disputes and enforce our rights and agreements. To dispose of Personal Information, we may anonymize it, delete it, or take other appropriate steps. Data may persist in copies made for backup and business continuity purposes for additional time.

Security

R&D uses generally accepted administrative, physical, and technical safeguards we believe are appropriate to protect the confidentiality, integrity, and availability of your Personal Information. Although we make reasonable efforts to protect Personal Information from loss, misuse, or alteration by third parties, you should be aware that there is always some risk involved in transmitting information over the internet and storing information electronically. R&D cannot and does not guarantee absolute security.

Changes to Our Privacy Policy

We may change this Privacy Policy from time to time to reflect changes in our practices or in the law. If we make changes to this policy, we will post the updated Privacy Policy on our website and indicate when it was last revised. You are advised to review this policy periodically to stay informed of our practices. If we make material changes, we may provide you with additional notice, such as posting a statement on our homepage or sending you an email notification to you at the email address provided. Your continued use of the Services after the revised Privacy Policy has become effective indicates that you have read, understood, and agreed to the current version of this Privacy Policy, to the extent permitted by law.
